This Registration Statement registers 5,200,000 additional common shares of Xenon Pharmaceuticals Inc. (the “Registrant”) to be issued pursuant to the Registrant’s Amended and Restated 2014 Equity Incentive Plan. The board of directors of the Registrant approved an amendment, subject to shareholder approval, to the Registrant’s Amended and Restated 2014 Equity Incentive Plan on April 17, 2024 and such amendment was approved by the Registrant’s shareholders on June 4, 2024.
